1. Scope
Amity is engaged to perform one or more of four services: sourcing & supplier search, negotiation in Mandarin, pre-shipment inspection, and freight to your port. The scope of work is fixed in a written scope document signed by both parties before any fee is charged.
2. Fees and billing
Fee modelHourly retainer (USD 180 / hour senior buyer; USD 90 / hour inspector), or per-shipment fee (1.6%–2.4% of FOB value by category). You choose at scope sign-off.
Billing currencyUSD. Invoices issued by Guangzhou Amity Commercial Group Co., Limited (Hong Kong entity).
Payment termsNet 14 days from invoice date for retainer clients; 50% upfront / 50% on shipment release for per-shipment clients.
Refund clauseIf a closed negotiation’s redline does not improve the deal we agreed to chase, we refund 50% of the negotiation fee within 10 business days.
3. Deliverables
Sourcing briefThree-finalist shortlist with floor photos, scorecards and reservations. Reference samples on your desk within 10 days from scope sign-off.
NegotiationRedlined PI, one-page English summary. Delivered within 5 business days of the negotiation block.
Inspection25–60 page PDF report with photos, measurements and recommendation. Delivered within 24 hours of the inspection visit.
FreightComplete document pack (commercial invoice, packing list, B/L, CoO, certs) handed off to your customs broker within 48 hours of vessel departure.
4. What we do not do
No factory commissionsWe accept no payment from any supplier we recommend. Discovery of any breach is grounds for full refund.
No product warrantyProduct warranty is supplier-to-buyer under the PI. We assist with claims management but do not warranty the goods.
No regulated goodsWe do not source bulk raw goods, regulated substances, dangerous materials or anything outside our four core categories without explicit written scope.
5. Force majeure
Neither party is liable for failure to perform caused by typhoons, port closures, customs strikes, factory shutdowns by government order, pandemics or any event beyond reasonable control. Affected milestones are re-scheduled in writing within 5 business days.
6. Confidentiality
All brief, factory shortlist, pricing and contract data is treated as confidential. We do not disclose your supplier choices to other clients, and we do not disclose your existence as a client without written permission.
7. Governing law and disputes
These terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes that cannot be resolved by good-faith discussion within 30 days are referred to the Hong Kong International Arbitration Centre under its administered rules in force at the time of submission.
